1. Who these terms are for

These Terms of Service ("Terms") are an agreement between SheerForce Solutions LLC ("SheerForce", "we", "us") and the business that signs up for SheerForce Voice ("Customer", "you"). By creating an account, starting a subscription, or using the service, you agree to these Terms on behalf of your business, and you confirm you are authorized to do so.

SheerForce Voice is a service for businesses. It is not offered to consumers for personal, family or household use. People who call or book with your business ("Callers") are covered by our Privacy Policy.

2. The service

SheerForce Voice answers your business's phone calls with an automated AI assistant. Depending on your plan and add-ons, it can take orders, take service requests, transfer callers to your staff, offer and book appointment windows, send orders to your point-of-sale system or Live Board screen, call back people who ask for a call on your website form (section 7), and show calls, orders, requests and bookings in your dashboard. Features, plans and add-ons are described on our product page.

We may improve or change the service over time. If we remove a feature you pay for, we will tell you in advance and you may cancel.

3. AI limitations: please read

The assistant uses artificial intelligence and can make mistakes: it may mishear a caller, misunderstand a request, or give an incomplete answer. It is a tool to help your business, not a replacement for your judgment. You are responsible for:

  • keeping the information it uses accurate and current (menu items, prices, hours, services, service area, policies and transfer numbers);
  • reviewing orders, requests and bookings it takes, and confirming important details with your customers;
  • how your business responds to the calls it handles.

The assistant does not give professional advice (legal, medical, financial, engineering or similar) and is instructed not to quote prices or arrival times for home-services work.

4. Not an emergency service

SheerForce Voice is not an emergency service and does not replace 911. When a caller describes a possible emergency (for example a gas smell, smoke, fire, a carbon monoxide alarm or flooding), the assistant gives general safety guidance, tells the caller to call 911 or their utility where appropriate, and tries to transfer the call to the number you provide. Transfers depend on your phone, your carrier and third-party networks and can fail. You are responsible for keeping a working transfer number and for your own emergency procedures.

5. Your responsibilities

  • Notices to callers. The assistant tells callers at the start of each call that they are speaking with an automated assistant. Some states require additional notice or consent before a call is processed by technology or a third party (for example California). You are responsible for any notice or consent your business must give under the laws that apply to you and your callers, including on your website, menus and voicemail.
  • Your phone number. You keep ownership of your business number. You are responsible for forwarding calls to the number we provide and for your carrier's charges.
  • Your account. Keep sign-in access to people you authorize, and tell us promptly about any unauthorized use.
  • Accurate information. You are responsible for the content you give us and for having the right to give it to us.
  • Text messages. If you turn on text messaging features when available, you are responsible for having your customers' consent where the law requires it (including under the Telephone Consumer Protection Act).

6. Acceptable use

You may not use the service to: break any law; make outbound marketing, sales or automated calls, other than calls back to people who asked for one as described in section 7; collect payment-card numbers or other sensitive financial data by phone (the assistant is built to refuse them); collect health information covered by HIPAA (we do not sign business associate agreements); harass, deceive or impersonate anyone; or interfere with, probe or reverse-engineer the service. We may suspend use that violates this section.

7. Calling back website leads

When you turn on lead callbacks, a person who asks for a call on your website form can get a call from your AI assistant within about a minute. We place these calls in your business's name and on your behalf. Telemarketing laws, including the federal Telephone Consumer Protection Act and state laws, apply to these calls. You agree to these rules:

  • Only people who asked. We call a number only if the person entered it on your website form and checked the consent box themselves. The box must be next to the consent wording below, naming your business. You must not check the box in advance, change the wording, or require the box to submit the form or to get service. A form sent without the box checked still reaches you, but we do not call that person automatically.
  • The consent wording (with your business's name in place of the example):
"Call me back now. I agree that Example Heating & Plumbing may call me at the phone number I entered about this request, using an automated AI assistant (an artificial voice) and automated dialing. I don't have to agree to get service or buy anything. To stop these calls, I can say "stop calling" on any call or tell Example Heating & Plumbing."
  • No other numbers. You may not send us numbers from any other source, such as purchased or shared leads, lists, or another business's forms.
  • How we call. We call only between 8 a.m. and 8 p.m. in the person's local time. If a request arrives outside those hours, we call when they begin. We make at most 2 call attempts per request. At the start of each call, the assistant says it is an automated AI assistant calling for your business about the person's request, and it gives your business's phone number. If the person asks us to stop, we stop at once and never call that number automatically for your business again.
  • Records. For each consent we keep the wording shown, the time, the web page, and the phone number entered. We also keep each stop request, as described in our Privacy Policy.
  • Your part. Keep the consent wording on your form exactly as we provide it. If someone asks your business directly to stop calling them, tell us (or mark them in your dashboard when that is available) right away. Your business is the seller the calls are made for and remains responsible for its own compliance, including under section 19.

8. SMS Terms (text messages)

These terms cover text messages sent by SheerForce Solutions LLC from its own phone lines, including its demonstration lines. When you call one of our lines, our AI phone assistant may offer to text you a confirmation of your order, service request or appointment; we send a text only if you agree on the call. If you text one of our numbers first, our automated assistant replies to your messages in that conversation; we only reply to messages you send. Messages are about your order, request or appointment (confirmations, updates, reminders and replies to your questions); we do not send marketing messages.

  • Frequency: varies; usually 1 to 3 messages per order, request or appointment.
  • Message and data rates may apply.
  • Opt out: reply STOP at any time; we confirm and send no further messages. Reply START to opt back in.
  • Help: reply HELP, or email support@sheerforceai.com.
  • Carriers are not liable for delayed or undelivered messages.
  • See our Privacy Policy, including how we handle SMS opt-in data, and the consent script at /sms.

9. Fees, minutes and payment

You pay the plan and add-on fees shown when you subscribe. Plans include a monthly allowance of call minutes; minutes above the allowance cost $0.30 each, counted per calendar month (New York time), and are charged to your card on file early in the following month. A one-time setup fee (currently none on the self-serve Solo plan, $299 for other home-services plans and $499 per restaurant location) may apply. Promotions such as a founding-customer offer apply as described when you subscribe; a founding customer's plan price is locked for 12 months from the start of the subscription.

Payments are processed by Stripe; we never see or store your full card number. Fees do not include taxes, which you pay where they apply. If a payment fails, we may retry it and may suspend the service after notice if it remains unpaid. We may change prices with at least 30 days' notice; changes take effect at your next renewal after the notice period, and you may cancel before then.

10. Automatic renewal and cancellation

Your subscription renews automatically at the end of each billing period (monthly or yearly, as you choose) and you will be charged the then-current price for your plan and add-ons until you cancel. If your subscription starts with a free period, it converts to a paid subscription automatically at the end of that period unless you cancel before it ends.

You can cancel at any time online from the Billing page of your dashboard ("Manage card, invoices or plan"), or by emailing support. Cancellation takes effect at the end of the current billing period, and the service continues until then. Except where the law requires otherwise, fees already paid are not refunded, including for partial periods. You can add or remove add-ons from the Billing page; changes are prorated.

11. Your data

You own the information your business provides and the records created for you (orders, requests, bookings and caller details) ("Customer Data"). You give us permission to use Customer Data only to provide, secure, support and improve the service for you, and as described in our Privacy Policy.

  • We do not sell Customer Data or use it for advertising.
  • We do not use call content or Customer Data to train artificial intelligence models, and we use our AI provider's business API, under which customer content is not used to train its models by default.
  • We may use aggregated information that does not identify you or any person (for example call counts and minutes) to run and improve the service.

When your account closes, you may ask us for an export of your Customer Data within 30 days; we delete it as described in the Privacy Policy.

12. Security

We use reasonable administrative, technical and physical safeguards appropriate to our size and the nature of the data, including encryption in transit, encrypted storage of connection credentials, and access controls. No system is perfectly secure. If we learn of a breach affecting your Customer Data, we will notify you without unreasonable delay and help you meet any notice obligations you have.

13. Third-party services

The service relies on third parties, including OpenAI (voice AI), Twilio (phone network), Render (hosting), Stripe (payments), Google (email, and calendar if you connect it) and, if you connect it, Clover (point of sale). Your use of a connected service (such as Clover or Google Calendar) is also subject to that provider's terms. We are not responsible for outages or changes caused by third-party services, but we will work to restore the service promptly.

14. Availability

We work to keep the service available around the clock, but we do not guarantee uninterrupted or error-free operation, and we may perform maintenance. We recommend keeping a backup for your phone line (for example forwarding to your own phone if our service cannot be reached), which we can help you set up.

15. Intellectual property and feedback

We own the service, including its software, prompts, designs and documentation. These Terms do not give you any rights in them other than to use the service while subscribed. If you send us suggestions, we may use them without obligation to you.

16. Confidentiality

Each of us will protect the other's non-public business information with reasonable care and use it only for this agreement, except where disclosure is required by law.

17. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ASSISTANT WILL UNDERSTAND EVERY CALLER OR HANDLE EVERY CALL CORRECTLY.

18. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, ORDERS OR CUSTOMERS, EVEN IF ADVISED THEY WERE POSSIBLE; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, A PARTY'S INDEMNITY OBLIGATIONS, OR LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

19. Indemnification

You will defend and indemnify SheerForce against third-party claims arising from your Customer Data, your business's products and services, your failure to give notices or obtain consents you are responsible for under these Terms, or your violation of these Terms or the law. We will defend and indemnify you against third-party claims that the service, as we provide it, infringes their intellectual property rights.

20. Term, suspension and termination

These Terms apply while you use the service. Either party may end the subscription as described in section 10. We may suspend or end the service if you materially breach these Terms and do not cure the breach within 10 days of notice, or immediately where needed to prevent harm, fraud or a violation of law. These sections survive termination: section 11, section 15, section 16, section 17, section 18, section 19, section 22 and section 23.

21. Changes to these terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in your dashboard before they take effect. If you keep using the service after that, the updated Terms apply; if you do not agree, you may cancel before they take effect.

22. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state courts located in Orange County, New York, or the United States District Court for the Southern District of New York, and each party consents to those courts. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days after written notice. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL in disputes under these Terms.

23. General

These Terms and any order details shown at checkout are the entire agreement between us about the service. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent, except in connection with a merger or sale of its business. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to support@sheerforceai.com; notices to you go to the email on your account.
